1.Introduction and acceptance
These Terms of Service govern access to and use of CEP, a product provided by SolRivet. By creating an account, accepting an order for CEP, or accessing the service on behalf of an organization, you agree to these terms and confirm that you have authority to act for that organization.
If a separate written agreement between the organization and SolRivet applies to CEP, that agreement controls to the extent it conflicts with these terms.
2.CEP service
CEP is a business customer engagement platform. Depending on the features enabled for a customer, it may support business contacts, conversations, WhatsApp Business messaging, appointment-related workflows, notifications, configurable workflows, AI-assisted functions and third-party integrations.
CEP is evolving. Descriptions of possible or planned capabilities do not promise that every feature is currently available, included in every subscription or suitable for every use.
3.Business accounts
Each business customer is responsible for:
- Providing accurate account and organization information
- Approving and managing its authorized users, roles and permissions
- Protecting credentials and promptly reporting suspected unauthorized access
- Activities carried out through its workspace and user accounts
- Keeping administrative and contact information current
4.Acceptable use
You must not use CEP to:
- Break the law or facilitate unlawful activity
- Harass, threaten, exploit or abuse another person
- Send spam, deceptive messages or communications without required permission
- Commit or facilitate fraud or impersonation
- Gain unauthorized access to accounts, data, systems or networks
- Upload malware or interfere with the security, integrity or availability of CEP
- Probe, bypass or defeat access controls, rate limits or other platform safeguards
- Process personal data unlawfully or contrary to documented permissions
- Violate the rules or rights of a connected third-party service
5.WhatsApp and third-party services
CEP's WhatsApp integration depends on the WhatsApp Business Platform supplied by Meta. A customer must maintain appropriate access to its own WhatsApp Business account and number, configure them correctly, and comply with applicable Meta or WhatsApp terms, messaging rules and consent or opt-in requirements.
SolRivet does not own a customer's WhatsApp Business account or number, does not control third-party platforms, and cannot guarantee their continued availability or unchanged functionality. A provider may change its features, policies, interfaces, eligibility rules or pricing. Meta and WhatsApp do not sponsor or endorse CEP.
Similar responsibilities apply to other services a customer connects to CEP. The customer authorizes SolRivet to exchange the information reasonably needed to operate each enabled integration.
6.Customer responsibilities
The business customer is responsible for:
- Having an appropriate legal basis, permission or consent for its communications and data use
- Selecting message recipients and respecting opt-outs and communication preferences
- The accuracy, legality and appropriateness of data it provides or instructs CEP to process
- The conduct of its employees, contractors and other authorized users
- Its configuration, workflows and decisions made using CEP
- Notices, policies and compliance obligations applicable to its business and customers
7.Customer data
As between the customer and SolRivet, the customer retains its rights in information and content it provides to CEP. The customer grants SolRivet the limited rights needed to host, transmit, reproduce, organize, secure, back up and otherwise process that data to provide, support and protect the service and meet lawful instructions.
The customer confirms that it has the rights and permissions necessary to provide its data and authorize this processing. SolRivet does not acquire ownership of customer data merely because it is processed through CEP.
8.AI-assisted features
Some CEP features may use artificial intelligence when enabled. AI-generated suggestions or outputs can be incomplete, inaccurate or inappropriate for a particular context. The customer and its users remain responsible for reviewing outputs, communicating accurately and making business or professional decisions.
CEP is a customer engagement platform, not a clinical decision system. AI outputs must not be treated as legal, medical or other professional advice, or relied on for diagnosis, treatment decisions, emergencies or professional medical judgment, unless a separate feature has expressly been designed and approved for that purpose under written terms.
9.Availability and changes
SolRivet may maintain, update, add, modify or discontinue service features as CEP develops. Maintenance, security events, internet conditions and third-party dependencies may cause interruptions. Unless a separate written service-level agreement applies, no specific uptime commitment is made in these terms.
10.Fees and subscriptions
Pricing, billing intervals, included usage, renewal, cancellation and other commercial terms may be set out in an order, proposal, subscription page or separate agreement. Customers must pay applicable fees according to those terms. These Terms of Service do not create a price, free-trial period or refund entitlement not stated elsewhere in writing.
11.Intellectual property
SolRivet and its licensors retain all rights in CEP, including the software, interfaces, documentation, product design, trademarks and branding. Except for the limited right to use CEP during an authorized subscription or evaluation, no platform intellectual-property rights are transferred to the customer.
Customer ownership of customer data is addressed in section 7.
12.Confidentiality and security
Each party should use reasonable care to protect non-public information received from the other and use it only for the relationship or as otherwise permitted. SolRivet uses reasonable technical and organizational measures appropriate to CEP, but no system can be guaranteed completely secure.
Customers must use available security controls appropriately, protect credentials and promptly notify SolRivet of suspected compromise or misuse.
13.Suspension and termination
SolRivet may restrict or suspend access where reasonably necessary to address a security threat, prevent harm or abuse, investigate a material violation, comply with law or a provider requirement, or address non-payment where fees apply. When practical, SolRivet will use proportionate measures and communicate with the affected customer.
Access may end according to applicable subscription, order or written agreement terms. Provisions that by their nature should continue after termination—including ownership, accrued payment obligations, disclaimers and liability limitations—will continue to the extent applicable.
14.Disclaimers
CEP is provided on an “as available” basis to the extent permitted by applicable law. SolRivet does not promise that CEP will be uninterrupted, error-free, compatible with every customer system, or that every third-party integration will remain available. Customers are responsible for evaluating whether CEP and its outputs are suitable for their intended use.
Nothing in these terms excludes a warranty or right that applicable law does not allow the parties to exclude.
15.Limitation of liability
To the extent permitted by applicable law, SolRivet will not be liable for indirect, incidental, special, consequential or punitive losses, or for loss of profits, revenue, goodwill, business opportunity or data, arising from use of or inability to use CEP.
Any further liability allocation or monetary cap must be stated in an applicable order, subscription agreement or other written agreement. Nothing here limits liability where applicable law does not permit limitation.
16.Governing terms and law
The parties should first attempt in good faith to resolve concerns through their business contacts. Any governing-law, venue or dispute-resolution terms stated in an applicable signed order or separate written agreement will apply. Where no such term exists, applicable law determines the relevant rules; these public terms do not select a jurisdiction that SolRivet has not formally approved.
17.Changes to these terms
SolRivet may update these terms as CEP and its legal or operational requirements evolve. The “Last updated” date will identify the current version. Where reasonably appropriate, material changes affecting an active customer will also be communicated through the service or relevant business contact.
